Acquisition of Versum sp. z o.o. by Booksy

The law firm represented Versum sp. z o.o. and its shareholders in negotiations regarding its acquisition by Booksy – a company operating one of the largest platforms for booking hair&beauty appointments.
As a result of the transaction, former competitors created a global industry leader, serving nearly 13 million users, who book nearly 100 million appointments annually.

The transaction was handled by attorneys-at-law Jakub Zawadzki and Tomasz Michalik on behalf of the law firm. On the buyer’s side, the process was led by the Olesiński & Wspólnicy law firm.

The company offers comprehensive HR suite solutions that automate human resource management processes, from recruitment to employment.

PeopleForce is the ninth company in the Pracuj Ventures portfolio, the result of many years of collaboration between the fund and our law firm.

Neptune Labs secures another investment

Our law firm, represented by attorney-at-law Tomasz Michalik and trainee attorney Jakub Zawadzki, had the honor of conducting the investment process on behalf of Neptune Labs sp. z o.o., which also included US company Neptune Labs, Inc.

Neptune.ai is a Polish startup that develops a platform to assist engineers and teams in managing the construction and training of artificial intelligence/machine learning models.

The total value of the funding exceeded 3 million USD, and the investors in the funding round were TDJ-Pitango Ventures, supported by co-investors: Rheingau Founders and btov Partners.

Nethone x Mangopay

Nethone x Mangopay

The law firm represented Nethone sp. z o.o. in the transaction for the acquisition of 100% of its shares by a Luxembourg company AI Stargate (Luxembourg) Sarl – the SPV of the private equity fund Advent International for the Mangopay project.

The inclusion of Nethone in the Mangopay Group is part of Advent International’s investment strategy to create a global technological leader in payment and authentication infrastructure for marketplaces. The Mangopay Group has capital for development amounting to 75 million EUR (over 350 million PLN), with a portion of the funds allocated to the development of Nethone and the creation of a technological hub in Poland.

The transaction, led by the London branch of Weil, Gotshal & Manges, and supported by CMS Poland, was advised by attorney-at-law Jakub Zawadzki on behalf of the law firm, with DLA Piper Poland acting as the lead counsel for the company’s shareholders.

ORLEN VC’s capital investment in Circunomics GmbH

Our law firm advised ORLEN VC sp. z o.o. in connection with its capital investment in the German startup Circunomics GmbH.

Circunomics is a modern platform that enables the reuse and subsequent recycling of batteries from millions of electric cars put into use each year. The transaction was carried out under German law, in cooperation with VOY – a law firm from Berlin.

The project was led by attorneys-at-law Jakub Zawadzki and Tomasz Michalik, with the support of attorney-at-law Magdalena Pająk on behalf of KPM LEGAL.

Packhelp raises 190 million PLN in Series B funding

Packhelp raises 190 million PLN in Series B funding

KPM LEGAL, represented by attorney-at-law Jakub Zawadzki, co-advised Market One Capital in another investment round in Packhelp S.A., a Polish startup operating the largest marketplace in Europe for designing and ordering personalized packaging for the e-commerce industry.

The funds raised in the Series B amounted to approximately 40 million euros. This was the largest financing round at this level in the country. The round was led by the French fund Infravia Growth, with the participation of PortfoLion and existing investor White Star Capital. The European Investment Bank (EIB) also provided venture debt financing. In total, the startup raised over 240 million PLN from investors.

Personnel Service receives significant funds for development

KPM LEGAL advised Książek Holding – the fund established by Mariusz Książek, founder and president of, among others, one of the largest developers in Poland- Marvipol, in an investment of 15 million PLN in Personnel Service S.A.

Personnel Service is a leader in recruiting foreign personnel and a leading outsourcing company in Poland.

In the transaction, attorney-at-law Tomasz Michalik and attorney-at-law Jakub Zawadzki provided advice on behalf of the law firm.

Series A Investment in Symmetrical

Series A Investment in Symmetrical

KPM LEGAL provided transactional advisory services to Symmetrical.ai Ltd. for a capital investment in the Series A round totaling 18.5 million USD (approximately 82 million PLN). The law firm also handled the sale of shares in the transaction.

Symmetrical.ai is the world’s first global provider of headless payroll technology, which enables the automation of payroll processes and on-demand payments (employee advances) at any time.


The transaction was conducted entirely under UK law, and attorney-at-law Jakub Zawadzki represented the law firm in the process.

Successful investment exit for Hedgehog Fund in Preply

The law firm advised Hedgehog Fund in the divestment transaction from one of its first portfolio companies – Preply, Inc.
Preply is a Ukrainian platform that serves as a global network of e-learning services available in 30 countries, connecting the world’s largest community of people learning foreign languages live.
